These terms govern your use of the Arqen website. Arqen is a digital consultancy registered in India, providing product design, software development, AI and automation, and DevOps services.
1. Using this website
By accessing or using this website, you agree to these terms. If you use the site on behalf of a company or other organisation, you confirm that you have authority to bind it. If you do not agree, do not use the site. You must be at least 18 years old to enter into an engagement with us.
2. Information about our services
The site describes our capabilities and working approach. It is general information, not a binding offer, estimate, warranty, or promise that a particular service, technology, team member, timeline, or outcome will be available or suitable for you. Any free consultation is an introductory conversation and does not create a client, advisory, fiduciary, or confidential relationship.
3. Project agreements control client work
Consultancy work begins only when Arqen and the client agree to a written proposal, statement of work, master services agreement, order form, or similar project document. That agreement will set the scope, deliverables, assumptions, responsibilities, fees, taxes, payment schedule, timeline, acceptance process, support, change control, termination rights, warranties, liability, confidentiality, data handling, and dispute process.
If a project agreement conflicts with these website terms, the project agreement controls for that engagement. Conversations, website content, estimates, and proposals marked as draft are not commitments until accepted in the manner stated in the relevant project document.
4. Client responsibilities
For any engagement, clients are responsible for:
- Providing timely information, access, decisions, feedback, approvals, and authorised contacts;
- Ensuring materials, data, instructions, and systems supplied to us may lawfully be used for the project;
- Maintaining appropriate backups and security for systems they control;
- Reviewing deliverables, testing them in the intended environment, and making deployment decisions; and
- Using deliverables and third-party services in accordance with law, licences, documentation, and the project agreement.
5. AI, automation, and infrastructure
AI systems can produce incomplete, inaccurate, or unexpected results and may depend on third-party models, datasets, and service terms. Automation and infrastructure changes can also affect live systems. Where these services form part of a project, responsibilities for human review, testing, approvals, monitoring, security, backups, provider limits, and production access will be set out in the project agreement. Website descriptions do not guarantee error-free output, uninterrupted operation, or any particular business result.
6. Intellectual property
Arqen owns this website, its branding, copy, visual system, and original site content unless stated otherwise. You may view the site for your own lawful business evaluation, but you may not reproduce, publish, sell, scrape, reverse engineer, remove attribution from, or create misleading derivatives of it without written permission.
Ownership and licensing of client deliverables, source code, designs, data, pre-existing tools, reusable know-how, open-source software, and third-party materials are governed only by the applicable project agreement. No project intellectual property is assigned through these website terms.
7. Confidential information
Do not send passwords, production credentials, regulated data, trade secrets, or other highly sensitive material in an initial enquiry. Information sent before a written confidentiality agreement is in place will be handled responsibly, but it is not automatically subject to project-specific confidentiality obligations. Once an engagement or confidentiality agreement is signed, that agreement controls.
8. Acceptable use
You must not:
- Use the site for unlawful, fraudulent, abusive, or misleading activity;
- Attempt to gain unauthorised access to the site, its systems, or another person’s data;
- Introduce malware, overload the service, probe security, or interfere with normal operation;
- Use automated extraction in a way that burdens the site or infringes our rights; or
- Misrepresent an affiliation with or endorsement by Arqen.
We may restrict access where reasonably necessary to protect the site, our rights, or other users.
9. Third-party services and links
The site may link to third-party websites, platforms, libraries, or services. We do not control them and are not responsible for their availability, content, security, or terms. A link does not mean endorsement. Your use of a third-party service is governed by its own terms and policies.
10. Website availability and disclaimers
We may change, suspend, or remove website content at any time. The site is provided on an “as available” basis. To the fullest extent permitted by law, we disclaim implied warranties relating to the site, including fitness for a particular purpose, merchantability, accuracy, non-infringement, and uninterrupted availability. Liability relating to paid consultancy services is governed by the applicable project agreement.
12. Indemnity for misuse
To the extent permitted by law, you will be responsible for losses, claims, and reasonable costs arising from your unlawful misuse of the site, infringement of another person’s rights, or material breach of these terms.
13. Governing law and disputes
These website terms are governed by the laws of India. Subject to any mandatory rights or jurisdiction that applies, courts at the place of Arqen’s registered office in India will have jurisdiction over disputes about the website. A project agreement may specify a different negotiation, mediation, arbitration, governing-law, or court process for that engagement.
14. Changes and general terms
We may update these terms by posting a revised version and changing the effective date. Continued use after an update means you accept the revised terms. If any provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver. These terms are the entire agreement about use of the website, but they do not replace any project agreement, confidentiality agreement, or other signed contract.
